1Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of The Ledger (the "Service"), operated by The Ledger ("we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2Description of the Service
The Ledger is a subscription-based software application that lets you record rental-property data and generates projections, stress tests, refinance simulations, depreciation schedules, and related analytics based on the figures you enter and the assumptions you select.
The Service performs calculations on your inputs. It does not provide financial, investment, tax, accounting, or legal advice, and nothing it outputs should be relied upon as such. Projected figures are estimates based on assumptions and are not guarantees of future results. You are solely responsible for your financial decisions and should consult qualified professionals before acting.
3Accounts & Eligibility
You must provide accurate account information and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and capable of forming a binding contract to use the Service. Notify us promptly of any unauthorized use of your account.
4Subscriptions, Billing & Cancellation
- The Service offers a free tier and paid subscription tiers. Paid plans are billed on a recurring monthly basis through our payment processor, Stripe.
- By subscribing to a paid plan, you authorize us to charge the applicable recurring fee to your payment method until you cancel.
- You may cancel at any time from within your account. Cancellation stops future charges; fees already paid are non-refundable except where required by law.
- We may change plan pricing or features with reasonable notice. Continued use after a change takes effect constitutes acceptance of the new pricing.
5Intellectual Property; Ownership of the Software
The Service — including its source code, calculation and projection engine, user interface, design, layout, visual identity, text, graphics, logos, and all related materials (collectively, the "Software") — is owned by us and protected by copyright, trademark, trade-secret, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business use, strictly in accordance with these Terms.
6Restrictions — Unauthorized Copying & Use Prohibited
You may not, and may not permit or enable any third party to:
- copy, reproduce, duplicate, mirror, frame, scrape, or archive the Software or any material part of it, except for transient copies strictly necessary for ordinary use of the Service;
- sell, resell, sublicense, rent, lease, distribute, or otherwise commercially exploit the Software or access to it;
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, calculation logic, formulas, or underlying structure of the Software, except to the limited extent this restriction is prohibited by applicable law;
- create derivative works of, or build a competing or substantially similar product from, the Software, its calculation engine, or its design;
- remove, obscure, or alter any copyright, trademark, or other proprietary notice;
- use bots, scrapers, or automated means to extract data or replicate functionality; or
- use the Service to develop, train, or benchmark a competing product or service.
Any unauthorized copying, reproduction, distribution, reverse-engineering, or cloning of the Software is a material breach of these Terms and an infringement of our intellectual-property rights, and may result in immediate termination of your account and civil and/or criminal liability to the fullest extent permitted by law.
7Your Data
You retain all rights to the property and financial data you enter into the Service ("Your Data"). You grant us a limited license to store, process, and display Your Data solely to operate and provide the Service to you. We do not sell Your Data. Each account's data is isolated and is not visible to other users. You are responsible for maintaining your own backups; the Service provides an export function for this purpose.
8Acceptable Use
You agree not to misuse the Service, including by attempting to gain unauthorized access to it or to other users' data, interfering with its operation, probing or testing its security without authorization, uploading malicious code, or using it for any unlawful purpose.
9Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any projection or calculation will be accurate or achieve any particular result.
10Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or investment losses, arising out of or related to your use of (or inability to use) the Service — including reliance on any projection, estimate, or output. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
11Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms — including the copying and use restrictions in Section 6 — or to protect the Service or other users. Upon termination, your license to use the Software ends immediately. Sections that by their nature should survive (including Sections 5, 6, 9, 10, and 12) will survive termination.
12Governing Law & Changes to These Terms
These Terms are governed by the laws of the jurisdiction in which the operator of the Service is established, without regard to conflict-of-law principles. We may update these Terms from time to time; when we do, we will revise the "Last updated" date above. Material changes will be communicated through the Service or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.
